State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Quhuo Limited (the “Company”) respectfully notifies the Securities and Exchange Commission (the “Commission”) that it is unable to file its annual report on Form 20-F for the fiscal year ended December 31, 2020 (the “Annual Report”) on or before the prescribed due date of April 30, 2021 without unreasonable effort and expense, because the Company needs more time to prepare and review its consolidated financial statements as of and for the fiscal year ended December 31, 2020 and notes thereto. The Company expects to file the Annual Report within the 15-day extension period prescribed by Rule 12b-25(b)(2)(ii) under the Securities Exchange Act of 1934.

Significant changes in the Company’s results of operations from the corresponding period for the last fiscal year were reflected in the Company’s press release dated April 30, 2021 reporting its unaudited condensed consolidated financial results for the fourth quarter and fiscal year ended December 31, 2020, which was furnished to the Commission on Form 6-K on the same date.
